This resolution was passed at the June 2025 Quarterly Membership Meeting via Zoom on June 29, 2025.
Whereas, seven members of the UAWD Steering Committee — Scott Houldieson, Chris Budnick, Eric Truss, Alex Bruns-Smith, Nick Livick, Ben Hinsey and Deneen Brewer — introduced a motion at the April 27 UAWD quarterly membership meeting to dissolve UAWD;Whereas, there were a number of procedural improprieties in this attempt at dissolution:
To dissolve the caucus would have required a bylaws amendment, which according to UAWD bylaws has to be read at one membership meeting and voted on at the subsequent membership meeting and requires a two-thirds supermajority in favor. This process was not followed.
A number of members in good standing were unable to join the call through no fault of their own.
The voting was closed after 90 seconds, with approximately 50 members’ votes not tallied.
While Steering Committee Chair Houldieson was able to present the argument that dissolving the caucus did not require a bylaws amendment, there was no opportunity for anyone to make a counter argument against voting on the dissolution resolution at the April meeting
Most members were muted during the entire discussion and were unable to make points of order;
Whereas, Article III, Section 1 of the UAWD Bylaws states, “All UAW members in good standing are eligible to become members of UAWD. However, the organization reserves the right to exclude those who are opposed to the principles within these bylaws.”Whereas, in taking the actions described above and not attending any subsequent Steering Committee meetings, the conduct of the Steering Committee majority essentially constitutes a resignation from the UAWD Steering Committee and from UAWD;Whereas, the four remaining Steering Committee members — Andrew Bergman, Judy Wraight, Martha Grevatt and Nolan Tabb — have made the case that the dissolution was illegitimate and are continuing to function as the UAWD Steering Committee;Whereas, with only four remaining members of the Steering Committee it is impossible to conduct business due to lack of a quorum;Be it therefore resolved, that UAWD accepts the resignation of Steering Committee members Scott Houldieson, Chris Budnick, Eric Truss, Alex Bruns-Smith, Nick Livick, Ben Hinsey and Deneen Brewer;Be it further resolved, under Article III, Section 1 of the UAWD Bylaws, the UAWD membership no longer considers the abovementioned seven to be members in good standing of UAWD;Be it further resolved, a Special Membership Meeting will be convened on August 3, 2025. The meeting will be announced as for the express purpose of having a new election for Steering Committee members to fill the vacancies created by the resignations of the seven aforementioned individuals. Consistent with Article IV, Section 6 of the UAWD Bylaws, this meeting will not consider any other business, besides business outstanding at the Summer Membership Meeting, unless expressly called for in another membership resolution.
